Victoria is an experienced litigation attorney with a comprehensive background in Business Law, Commercial Litigation, Collections, Contract Preparation and Negotiation, Corporate Governance, Risk Management and Mergers & Acquisitions.

In her roles as an outside corporate counsel, general counsel, chief compliance officer, and COO, Victoria has managed the legal affairs and operations of both private and publicly traded companies in the United States and abroad. Since 1999, Victoria has helped hundreds of companies make their enterprises more efficient, while reducing legal risk and exposure. As the managing member of our firm, she works directly with our clients to design and implement best-practice processes and procedures that encompass their vision and goals, while reducing the need for costly attorney’s fees and time-consuming litigation.

Victoria has substantial experience with companies and investors in energy transactions, including all phases of oil and gas exploration and production, refining, power generation, energy services, transportation, and midstream. She has handled multiple domestic and international business acquisitions, overseen the litigation and settlement of domestic and international shareholder lawsuits,  managed formal SEC and Labor Relations Board inquiries, and resolved compliance issues related to service agreements for engineering, construction drilling, and project- management operations, including Front-End Engineering and Design (FEED) Engineering, Procurement, Construction and Installation (EPCI), and Operations and Maintenance (O&M) of customer-owned rigs.

As an immigrant to the United States, Victoria understands first-hand, the dedication required to build a successful business from nothing, and the hard work necessary to grow that business into an enterprise.  With the mindset of protecting what business owners have built, and giving them the legal support to elevate their businesses to the next level, Victoria is called on regularly to represent clients in cases involving contract disputes, risk management, complex business transactions and mergers & acquisitions.

As an attorney who is fluent in Russian, Victoria spends her spare time providing pro bono services to the Russian Community of Texas.

In the course of representing her business clients, Victoria handles commercial collections and secures mechanics’ and oil and gas liens. She has recently secured a mechanic’s lien on $2-million of draws on a foundation construction project against an oil and gas project owner

Contract Management

Victoria has reviewed, negotiated, and prepared thousands of master service agreements and nondisclosure agreements. She has overseen submission of design and construction bid packages and permitting, created joint-venture partnership agreements, and assisted with the financing of international projects. Some of her most recent contracts and bid submissions include

  • Engineering, procurement, construction, and commissioning (EPCC) a contract to build a new combined-cycle, natural- gas-fueled power station with a total project investment value exceeding $1-billion US
  • A work-management systems implementation contract for the development of upstream gas, pipeline infrastructure, central processing units, and LNG train valued at approximately $5-million US.
  • Reallocation of approximately $15-million US risk exposure in upstream contracts by using a combination of exclusion and limitation of liability clauses and indemnity clauses.
  • Submission of a $50-million US bid on pipeline design, engineering, procurement, and construction (EPC).

Corporate Services

Victoria works closely with her clients’ operations departments to design and execute safety and training programs for employees, whose functions or responsibilities involve compliance with laws or standards of conduct, including anti-boycott laws, anti-bribery laws, antitrust/competition law, economic sanctions, and import/export controls. She has reviewed and prepared company policies and employee manuals and developed procedures designed to prevent and/or detect violations of laws and risk exposures in areas of corporate governance, employment, safety, information technology, procurement, marketing, and international anti-corruption matters.

Internal Investigations

Victoria is sometimes called on by her clients to conduct independent investigations into allegations concerning corporate practices and alleged wrongdoing.  She is experienced in designing effective investigation plans, conducting interviews and document reviews, preparing reports, and offering to her clients lessons learned from the investigation. In appropriate circumstances, her participation as legal counsel in internal investigations might provide the benefit of attorney-client privilege coverage of investigations.

Risk Management and Governance Services

Victoria frequently provides on-site consultations and insights for board members and executives on a variety of corporate, tax, and contract-law matters. Her engagements cover general corporate governance, trainings on board-member exposure matters, or very specific issues or situational matters facing the organization. She often leads collaborative sessions and brings together executives and their boards as part of the decision-making process. Victoria’s legal understanding and the business-impact insights help her clients focus on the critical thinking that leads to desired results.

Working as a litigator and corporate counsel, Victoria has handled numerous common employment issues, claims, and labor investigations.  She is trained to evaluate both sides of every issue from the perspective of employers and employees and to quickly resolve them without the need for litigation.

Victoria’s practice includes the representation of private companies in public and private financing (equity and debt); M&A transactions, including stock and asset acquisitions and dispositions; and the representation of private companies from organization and startup through angel and venture-capital private financing.

Victoria frequently advises clients in the development of corporate- compliance programs, corporate codes of conduct, and business-ethics policies.  Her representation of clients in compliance matters includes securities, employee benefits, energy, healthcare, labor and employment, securities, and regulatory and compliance issues. Victoria has prepared company policies, employee handbooks, and human-resource systems for a major oil and gas service-provider company to comply with the FCPA and UK Bribery Act. She has also represented corporate officers and directors in a broad range of compliance and regulatory matters involving the Securities and Exchange Commission and state regulatory agencies. She believes that a sound corporate-compliance program starts with training, policies, and practices that lay the foundation for a workplace culture of compliance.

Victoria has worked on complex commercial litigation matters for nearly 20 years. She has efficiently handled complex, high-stakes business disputes for both plaintiffs and defendants, including litigation involving breach of contract, fiduciary duties, securities fraud, mergers and acquisitions, Director’s and Officers’ liability, medical and legal malpractice, oil and gas matters, partnership disputes, intellectual property disputes, theft of trade secrets, healthcare related matters and complex contractual disputes.

Her pro bono work focuses on family law and estate planning for individuals, as well as corporate counseling to charitable and nonprofit organizations.
  • Victoria has served on the boards of various Houston nonprofit organizations. She is a founding board member of the Chester Street Foundation, established to provide a voice for traumatized children and educate community on childhood trauma.
